Legal requirements and operational boundaries for institutional users of TopSafeAI infrastructure.
Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Institution" or "User") and TopSafeAI ("we", "us", or "our"). These terms govern your access to and use of our fraud prevention, AML monitoring, and institutional intelligence platform.
IMPORTANT: BY USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL ACCESS TO THE SERVICES.
Use of Services
Subject to these Terms, TopSafeAI grants you a non-exclusive, non-transferable right to access and use the Platform solely for your internal business compliance and risk management operations.
- License: Your access is a license, not a sale.
- Compliance: You must use the services in compliance with all relevant financial regulations (CBN, SEC, GDPR).
- Scalability: Service limits may apply based on your specific subscription tier or API volume quotas.
User Responsibilities
As an institutional user, you are responsible for:
- Data Accuracy: Providing truthful and accurate institutional documentation during verification.
- Credential Security: Maintaining the confidentiality of your organization's API keys and administrator passwords.
- End-User Privacy: Ensuring you have the necessary consent or legal basis to process the transaction data you send to our L4 engine.
Prohibited Activities
We reserve the right to suspend any account found engaging in activities that threaten the stability of our institutional infrastructure.
Service Availability & SLA
We strive to maintain a 99.9% uptime for our production API endpoints. However, we do not guarantee that the service will be uninterrupted or error-free. Maintenance windows are typically scheduled during low-traffic periods (Saturdays 02:00 UTC).
Intellectual Property
All rights, titles, and interests in and to the Platform, including but not limited to the underlying proprietary algorithms, software, website design, and detection models, are and will remain the exclusive property of TopSafeAI.
The "TopSafeAI" name and logo are trademarks of our company and may not be used without prior written consent.
Limitation of Liability
Total Liability Clause
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPSAFEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF REVENUE OR PROFITS, ARISING FROM YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any disputes shall be settled through binding arbitration in Lagos.
